GetCare Foundation is committed to responsible governance, transparency and accountability in the pursuit of its mission. Our governance framework provides strategic oversight of the Foundation while maintaining a clear distinction between governance and the day-to-day management of programmes and operations. Through Board oversight, management systems, institutional policies and internal controls, GetCare works to ensure that its resources, partnerships and programmes are managed responsibly and in furtherance of its charitable and development objectives.

Role of the Board

The Board's governance responsibilities include:
  • Providing strategic direction and oversight of the Foundation.
  • Safeguarding GetCare's mission, values and institutional purpose.
  • Providing oversight of organizational performance and strategic priorities.
  • Exercising oversight of financial stewardship, risk and accountability.
  • Supporting appropriate governance and internal-control systems.
  • Providing oversight of the Chief Executive Officer and executive management.
  • Promoting ethical conduct, transparency and responsible decision-making.
  • Supporting compliance with applicable legal, regulatory and institutional requirements.
  • Reviewing significant organizational policies and governance matters.
  • Helping safeguard GetCare's long-term institutional sustainability.
GetCare maintains a distinction between governance oversight and executive management. The Board provides strategic and governance oversight, while the Chief Executive Officer and management team are responsible for the day-to-day leadership, programme implementation, partnerships, financial and administrative management, personnel coordination and operations of the Foundation. This structure enables the Board to exercise oversight while allowing management to execute GetCare's strategy and programmes within approved institutional frameworks.

Accountability is integral to how GetCare works with communities, partners, funders and other stakeholders. The Foundation continues to strengthen systems for responsible financial management, programme oversight, risk management, safeguarding, ethical conduct, monitoring and reporting. These systems are intended to protect the people and communities with whom we work, safeguard organizational resources and support responsible delivery of GetCare's programmes. Governance and institutional systems are reviewed and strengthened as the Foundation grows and as programme, partnership and regulatory requirements evolve.
